Definitions
- "Company", "we", "our", or "us" refers to MaitoAI LLC.
- "Services" refers to our website, maitoai.com, and any product created and maintained by MaitoAI LLC, including AI agent building, testing, deployment, and analytics features, whether delivered within a web browser or through API access.
- "You" or "your" refers to the people or organizations that own an account with our Services.
1. Agreement to Terms
By accessing or using MaitoAI"s services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the service.
2. Service Description
MaitoAI provides a visual AI agent builder platform that allows users to create, test, and deploy AI features without coding ("Service").
3. Account Terms
3.1. You must register for an account to access the Service.
3.2. You must provide accurate and complete information when registering.
3.3. You are responsible for maintaining the security of your account credentials.
3.4. You must notify us immediately of any unauthorized access to your account.
4. Service Tiers
4.1. The Service is offered in different tiers: Free, Pro, and Enterprise. Each tier includes different features and usage limits as described on our pricing page.
4.2. Usage limits and SLAs vary by tier. Current limits and SLAs are available on our website.
5. Payment Terms
5.1. Payments are handled by Stripe, our payment processor. By subscribing to our service, you agree to pay the applicable subscription fees.
5.2. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
5.3. Enterprise subscription is billed in advance.
5.4. No refunds are provided.
5.5. If you are upgrading from a free plan to a paid plan, we will charge your card immediately and your billing cycle starts on the day of the upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
5.6. Users may downgrade their plan at any time, effective at the end of the current billing cycle.
6. Data Privacy and Security
6.1. Data Processing:
- AI agents do not store user data
- Data is processed only during agent request execution
- Zero persistent storage of user data
6.2. Agent Privacy:
- AI agents are private to their creating organization
- Access requires organization"s private key
- Organizations control agent access permissions
7. Acceptable Use
You agree not to:
7.1. Use the Service for any illegal purposes
7.2. Create AI agents that promote or generate:
- Hate speech
- Harassment
- Explicit content
- Malicious code
- Spam
- Misleading information
7.3. Attempt to breach or circumvent service security
7.4. Reverse engineer the Service
8. Intellectual Property
8.1. MaitoAI Property:
- The Service, including its original content and features
- All related logos, trademarks, and branding
8.2. User Property:
- AI agents created by users
- Configuration and prompts within those agents
9. Service Availability
9.1. We strive to maintain Service availability according to your plan"s SLA.
9.2. We reserve the right to modify or discontinue features with reasonable notice.
9.3. Scheduled maintenance will be announced in advance.
10. Limitation of Liability
You agree that the Company is not liable to you or to any third party for damages of any kind that result from the use of the Services, the inability to access data, or unauthorized access to your data or account. The Company is also not liable for damages of any kind related to actions of any third party that uses the Services, or any other consequences related to the Terms or Services.
11. Termination
11.1. You may terminate your account at any time.
11.2. We may terminate or suspend access to our Service immediately for:
- Terms violations
- Suspicious activity
- Non-payment
- Service abuse
12. Dispute Resolution
12.1. Mandatory Arbitration. Any dispute arising from these Terms or the Services will be resolved through binding arbitration, rather than court proceedings.
12.2. Informal Resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@maitoai.com. We"ll try to resolve the dispute informally by contacting you via email.
12.3. Arbitration Procedures. The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
12.4. Class Action Waiver. All claims must be brought in the parties" individual capacity, and not as a plaintiff or class member in any class action.
12.5. Severability. If any part of this Dispute Resolution section is found to be invalid or unenforceable, the remaining portions shall remain in full force and effect.
13. Service Interruption and Maintenance
13.1. Scheduled Maintenance. We perform regular maintenance to ensure optimal performance of our Services:
- Routine maintenance windows will be announced at least 48 hours in advance
- Emergency maintenance may be performed without notice when necessary
- All scheduled maintenance notifications will be sent via email and displayed in the dashboard
13.2. Service Changes. We may modify, suspend, or discontinue any part of the Services at any time:
- Material changes will be announced 30 days in advance
- Critical security updates may be implemented immediately
- Deprecation of features will be communicated with migration options
14. Changes to Terms
14.1. We reserve the right to modify these terms.
14.2. Changes will be effective upon posting to the Service.
14.3. Continued use of the Service constitutes acceptance of modified terms.
15. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Delaware for the resolution of any disputes.
